It needs to implement its restructuring programme by 31 December 2026 under a deal with the European Commission. If the operator fails to do so, it could be in serious trouble. The goal is to break even financially.

The DB Cargo case in short

DB Cargo, loss-making since 2012, received financial support from its parent company Deutsche Bahn to stay afloat for many years. This happened through a so-called profit and loss transfer agreement (PLTA). In total, DB Cargo obtained €1.9 billion through this scheme.

The problem: Deutsche Bahn is a state-owned company. As a result, the European Commission considers the €1.9 billion to be state aid, which is only compatible with EU law under certain conditions. Ultimately, the Commission cleared the state aid through a deal with Germany. DB Cargo had to implement a restructuring programme to become profitable by 31 December 2026, or face consequences for receiving illegal state aid through the PLTA. If DB Cargo meets the deadline, the state aid remains cleared.

How the walls started closing in on DB Cargo

The consequences of not meeting the Commission’s deadline could be detrimental to the company. At least, historical precedent points in that direction. Take, for example, DB Cargo’s former French counterpart Fret SNCF. It too faced Commission scrutiny over state aid (€5.3 billion euros between 2007 and 2019). The end result for the French company was a break-up into two companies and a discontinuation of Fret SNCF. Before that, the operator had to transfer 30% of its operations to competitors, equal to 20% of its revenue.

Let’s return to DB Cargo. For starters, it seems highly unlikely that DB Cargo will break even by 31 December. Its CEO, Bernhard Osburg, has predicted this himself. This suggests that the operator may not fulfill the restructuring conditions by the end of the year.

A caveat: the failure to break-even is largely attributable to write-offs (€260 million) at DB Cargo UK, which is to be sold off. If it were not for this one-off loss, DB Cargo would have broken even this year. It needs to become profitable soon, because Germany can no longer financially support it after 2026. What fate awaits DB Cargo once we are past 31 December 2026?

The final outcome is anyone’s guess, but there are various scenarios.

Repayment of unlawful state aid

If DB Cargo fails to meet the restructuring conditions (confidential, including financial targets), the Commission could again declare the state aid unlawful. It could then demand that Germany recover the aid from DB Cargo. On top of that, the Commission would determine an interest rate to be charged for all years since DB Cargo first had the state aid at its disposal. A massive financial burden.

The end of DB Cargo

DB Cargo could theoretically meet the same fate as Fret SNCF, if repayment is not an option. In the French case, the European Commission was expected to order the repayment of the €5.3 billion in unlawful state aid. This would immediately have led to insolvency. France ultimately agreed with the Commission to break up the operator in such a way that there would be no ‘economic continuity’. A complex legal story, but France opted to divide Fret SNCF up into separate companies that would bear little economic and legal resemblance to their predecessor. In that way, the €5.3 billion repayment obligation was not passed on and eliminated together with Fret SNCF. Instead, France now has Hexafret and Technis.

Failure to comply: a case before the ECJ

If no agreement is reached or if Germany does not comply with the imposed conditions, the Commission can also take Germany directly to the European Court of Justice (ECJ). Such a case would target Germany, not DB Cargo. The court cannot order a break-up; it can only rule that Germany failed to meet its obligations.

If Germany still does not comply, a second case can follow, with a lump sum and periodic penalties paid by Germany. Such cases take years, however, making the ECJ route mainly a stick in the negotiations.

An amended restructuring plan

One likely scenario is less dramatic, however. The EU rules allow Germany to ask the Commission for changes to the restructuring plan, as long as the restructuring period is still running (so, until 31 December 2026). A postponed deadline is possible, but only if the revised plan still shows a return to viability within a reasonable timescale.

Such a deal would come at a price in any scenario. If conditions are relaxed, the aid must be reduced or other conditions imposed, the Commission’s guidelines state. In other words, Brussels could ask for more divestments (read: selling off parts of the business to outside buyers) in return for extra time. Talks on a new restructuring concept were set to begin in November.

The good ending: Brussels accepts the outcome

There is also a scenario in which very little actually happens. Formally, the Commission’s condition is a full implementation of the restructuring plan by 31 December. If DB Cargo has carried out all of the agreed cuts, divestments and reorganisation measures, the Commission could be satisfied despite a negative financial result: case closed.

Still, not everyone is convinced that the Commission will go along with that. “I don’t believe we’ll receive any leniency or anything similar from the EU Commission,” Ulrich Schmidt from the DB Cargo works council told RedaktionsNetzwerk Deutschland, for instance. “They are tough competition watchdogs.”

A matter of years

Whatever happens, a final outcome will not be clear overnight. If the EU opts for the hard route, the process could drag on for a long time. For example, the Commission ordered Italy to recover state aid granted to hotels in Sardinia in 2008. It took the ECJ until 2020 to impose financial penalties on Italy for failing to do so.

Lastly, a word on the French scenario. It seems rather unlikely that Germany would accept a break-up of DB Cargo. Many industries depend on the operator. Besides, the company plays a crucial role in military mobility, including beyond Germany. Now that Europe finds itself at an inflection point in history, carving up such an important asset as DB Cargo seems very risky.

Yet, there is more weight behind the break-up scenario. Not only Fret SNCF provides a precedent. In Romania too, the state opted to create a spiritual successor that would not inherit the state aid ‘debts’ (the CFR Marfă and Carpatica Feroviar case, concerning €570 million). This ‘trick’ looks like a convenient way to relieve the targeted rail freight operators of multibillion repayment obligations while retaining a lot of their operational capacity. Where DB Cargo will end up remains an open question, for now.

Time is ticking for the German national rail freight operator DB Cargo.
